1. AGREEMENT TO TERMS
These Terms of Use (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Fero Technologies, LLC, a Georgia limited liability company (“Fero Tech,” “Pvium,” “we,” “us,” or “our”), governing your access to and use of Pvium (formerly Payy), including any websites, mobile applications, APIs, documentation, dashboards, and related services (collectively, the “Platform”).
Pvium is a non-custodial software platform that provides invoicing, payment coordination, and transaction-tracking tools for crypto-native businesses. Pvium does not custody digital assets, execute transactions, transmit funds, or act as a financial intermediary.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.
You represent that you are at least eighteen (18) years old and legally capable of entering into a binding agreement.
2. REGULATORY POSITIONING AND SCOPE OF SERVICE
2.1 No Custody; No Financial Intermediation
Pvium is strictly non-custodial. At no time does Pvium:

For purposes of Regulation (EU) 2023/1114 (“MiCA”), Pvium operates as a software and technical infrastructure provider only. Pvium does not provide:

3. THIRD-PARTY WALLET INFRASTRUCTURE (PRIVY.IO)
Pvium relies on third-party wallet and authentication infrastructure providers, including Privy.io, to enable wallet connectivity and user authentication.

6. USER REGISTRATION AND ACCOUNT SECURITY
You may be required to register an account. You are responsible for maintaining the confidentiality of your credentials and all activity conducted through your account.
We reserve the right to suspend, restrict, or terminate access at our sole discretion, including to comply with legal, regulatory, or risk-management obligations.
7. FEES, BILLING, AND REFUNDS
Pvium may charge subscription or service fees for access to certain features. Such fees relate solely to Platform access and are independent of blockchain transactions.
All blockchain transactions are final and non-refundable. Refunds for Platform fees, if any, are issued at our sole discretion.
8. INTELLECTUAL PROPERTY RIGHTS
All Platform software, code, design, text, graphics, and trademarks are owned by or licensed to Fero Tech and protected under applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purpose.
9. USER-GENERATED CONTENT
You may submit content to the Platform (“Contributions”). Contributions are non-confidential and may be visible to other users.
You represent that your Contributions:
10. CONTRIBUTION LICENSE
By submitting Contributions, you grant Pvium a perpetual, worldwide, royalty-free license to use, host, display, and distribute such Contributions solely for Platform operation, moderation, and improvement.
You retain ownership of your Contributions.
11. PROHIBITED ACTIVITIES
You may not use the Platform to:

The Platform may reference or integrate with third-party services, protocols, or blockchains. Pvium does not control and is not responsible for:

14. PRIVACY AND DATA PROTECTION
Your use of the Platform is subject to our Privacy Policy. The Platform may process data in the United States and other jurisdictions.
15. DISCLAIMER
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
PVium DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PVium SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF FUNDS OR DATA.
PVium’s TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF (A) AMOUNTS PAID BY YOU IN THE PRIOR THREE (3) MONTHS OR (B) $500 USD.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Pvium from any claims arising from:

These Terms remain in effect while you use the Platform. Pvium may terminate or suspend access at any time for any reason, including regulatory or compliance considerations.
19. MODIFICATIONS
Pvium may modify these Terms at any time. Continued use constitutes acceptance of the revised Terms.
20. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Georgia, United States, excluding conflict-of-law rules.
Disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association. Class actions are waived.

You represent that you are at least eighteen (18) years old and legally capable of entering into a binding agreement.
2. REGULATORY POSITIONING AND SCOPE OF SERVICE
2.1 No Custody; No Financial Intermediation
Pvium is strictly non-custodial. At no time does Pvium:
- Hold, safeguard, or control user funds or crypto-assets
- Possess, store, or recover private keys or seed phrases
- Initiate, authorize, validate, or reverse blockchain transactions
- Act as a bank, payment institution, electronic money institution, money services business, escrow provider, or crypto-asset service provider holding client assets
All blockchain transactions occur directly between addresses controlled by users via public blockchain networks.
2.2 Alignment With EU MiCA
For purposes of Regulation (EU) 2023/1114 (“MiCA”), Pvium operates as a software and technical infrastructure provider only. Pvium does not provide:
- Custody and administration of crypto-assets on behalf of clients
- Exchange services between crypto-assets or fiat currencies
- Execution of orders for crypto-assets
- Reception and transmission of orders for crypto-assets
Accordingly, Pvium does not hold client crypto-assets and does not perform regulated Crypto-Asset Service Provider (“CASP”) activities as defined under MiCA.
Users remain solely responsible for determining whether their use of the Platform is permitted under applicable laws in their jurisdiction.
3. THIRD-PARTY WALLET INFRASTRUCTURE (PRIVY.IO)
Pvium relies on third-party wallet and authentication infrastructure providers, including Privy.io, to enable wallet connectivity and user authentication.
You acknowledge and agree that:
- Wallets are created and managed through third-party providers
- Private keys and recovery phrases are accessible only to you, subject to the provider’s terms
- Pvium cannot access, export, reset, or recover private keys
- Loss of keys or credentials may result in permanent loss of assets
- Third-party providers operate independently and are governed by their own terms and privacy policies
4. PLATFORM FUNCTIONALITY AND LIMITATIONS
Pvium provides software tools for:
- Invoice creation and presentation
- Payment coordination via blockchain addresses
- Transaction visibility and status tracking
- Business record-keeping support
Pvium does not:
- Guarantee payment settlement or confirmation
- Verify counterparties, payers, or recipients
- Determine gas fees, exchange rates, or protocol rules
Provide tax, legal, accounting, or investment advice
5. USER REPRESENTATIONS AND ACKNOWLEDGMENTS
By using the Platform, you represent and warrant that:
- All information you provide is accurate and current
- You are solely responsible for wallet security
- Blockchain transactions are irreversible
- You bear all risks associated with crypto-assets
- You are not relying on Pvium as a fiduciary, agent, or advisor
- Your use complies with applicable laws, including sanctions and AML requirements
You acknowledge that incorrect addresses, network selection errors, or smart-contract interactions may result in irreversible loss.

You may be required to register an account. You are responsible for maintaining the confidentiality of your credentials and all activity conducted through your account.

11. PROHIBITED ACTIVITIES
You may not use the Platform to:
- Violate any law or regulation
- Engage in fraud, money laundering, terrorist financing, or sanctions evasion
- Interfere with Platform security or operations
- Reverse engineer or misuse Platform software
- Upload malware or harmful code
12. THIRD-PARTY WEBSITES AND BLOCKCHAINS
The Platform may reference or integrate with third-party services, protocols, or blockchains. Pvium does not control and is not responsible for:
- Blockchain network performance or outages
- Smart-contract behavior
- Protocol upgrades, forks, or failures
- Third-party service availability
13. SITE MANAGEMENT
We reserve the right to monitor Platform usage, remove content, restrict access, and take legal action to protect the Platform and comply with applicable law.
14. PRIVACY AND DATA PROTECTION
Your use of the Platform is subject to our Privacy Policy. The Platform may process data in the United States and other jurisdictions.
15. DISCLAIMER
